1. Who this agreement covers
TRADWRK is operated by Emerald City Concepts LLC. This agreement governs permission to access and use TRADWRK software. The Terms of Service govern subscription prices, trials, billing, cancellation and service use. The Privacy Policy describes information handling. If you accept for a company, you must have authority to do so. New account creation requires express acceptance of this agreement and the Terms of Service.
2. Permission to use the software
Subject to your account's authorized access and the applicable plan, TRADWRK grants you a limited, nonexclusive license to access and use the software for your company's construction and related business workflows. This is permission to use the service, not a sale of the software or its source code. It does not grant a perpetual license or independent hosting rights.
Authorized named users may use the service on a phone or computer. Solo allows one named account. Team allows one boss and two field accounts within one company. Custom uses the account allowance approved in your written agreement. Company administrators control user roles; sharing one person's login is not a substitute for adding an authorized named user. Unlimited jobs does not remove account, file-size, permission or supported-feature limits.
3. Software ownership and your records
TRADWRK and its licensors retain their rights in the software, interface, documentation and other service materials. No ownership of those materials transfers through a subscription. You retain your rights in your company's uploaded files and records. This agreement does not authorize TRADWRK to sell your project records or make them public.
You may use supported downloads, exports and Email/Share for information you are permitted to access. Sending an authorized project report is different from distributing the TRADWRK software. Third-party reference drawings, components and connected services retain their own rights and applicable terms.
4. Use restrictions and legal exceptions
Do not resell, sublicense or provide the software as an independently hosted service without written permission. Do not copy or distribute proprietary software or remove its ownership notices. Do not bypass account allowances or permissions, access another company's data, distribute malicious code, interfere with the service or use it unlawfully.
Do not reverse engineer, decompile or disassemble proprietary software except where an applicable law permits that activity despite a contractual restriction. This agreement does not override mandatory rights, lawful exceptions, or the separate licenses of third-party and open-source components. Contact TRADWRK about a supported integration rather than bypassing access controls.
5. Updates, integrations and AI features
TRADWRK may provide software maintenance, security fixes and feature updates. Available features depend on the supported release, account permissions and plan. This agreement does not promise delivery of a future feature or unrestricted access to every module or export format.
Using Stripe, QuickBooks Online or other connected services remains subject to their own terms and the permissions you grant. AI analysis can be incomplete or incorrect. Review answers, calculations, drawings and proposed changes before relying on them. This license does not authorize an AI answer to approve construction, certify safety, reconcile accounts or commit your company to a payment. The review and approval requirements in the software still apply.
6. Duration, suspension and ending access
This license lasts while your account has authorized access under the trial, paid subscription or separately agreed arrangement. Cancellation, trial expiry, unpaid billing or a security restriction can affect access under the Terms of Service. Paid-period access and the effective cancellation date follow the applicable subscription terms; this agreement does not create a new billing period or remove required cancellation rights.
If an account becomes read-only, its permission is limited to available viewing and supported export features; it does not authorize editing or new business actions. Ending access does not transfer ownership of your records to TRADWRK and does not itself promise deletion. Request access, export or deletion through the privacy contact. Keep appropriate copies of critical records. Reinstatement requires verified authorization under the account rules.
7. Existing agreements and changes
A separately signed agreement controls where it expressly changes these license terms. Mandatory law continues to apply. Material changes will be communicated as required by law; publishing an updated page does not by itself establish an existing customer's acceptance. For new accounts, the accepted license version and acceptance time are recorded alongside the Terms of Service acceptance.
For license questions, permission requests or access problems, contact [email protected]. Include your account email and company name. Do not send passwords or full payment-card details.
